Terms and Conditions

These Terms govern recurring IKOU product subscriptions. By starting a Subscription, you agree to recurring orders and automatic charges at your selected frequency until you cancel.

About IKOU Subscriptions

IKOU Subscriptions is a recurring product-order service operated by IKOU Australia Pty Ltd ABN 99 605 943 897 (IKOU, we, us or our).

These Terms govern each Subscription. IKOU's website terms, Privacy Policy, Shipping Policy, Refund Policy and any specific terms displayed for a Subscription Product or promotion also apply where relevant.

If specific terms issued for a product, offer or promotion are inconsistent with these Terms, the specific terms apply to that product, offer or promotion and these Terms otherwise continue to apply.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

Eligibility and starting a Subscription

To start a Subscription, you must be at least 18 years old, legally capable of entering into a binding agreement, and hold an IKOU customer account with accurate contact, delivery and payment details.

You must be logged into your IKOU account when placing your initial Subscription order and must select the Subscription option, products and delivery frequency before checkout.

Your Subscription begins when IKOU accepts your initial Subscription order. By submitting that order, you accept these Terms and authorise IKOU and its payment providers to charge your nominated payment method for the initial order and each recurring order.

A Subscription is for personal retail purchases. IKOU may decline or cancel a Subscription that appears to be for resale, wholesale or other commercial purposes, or that involves fraud, misuse or duplicate accounts.

Subscription Products and delivery frequencies

Subscriptions are available only for products identified as eligible on the relevant product page (Subscription Products). IKOU may add or remove products from the Subscription Program.

You may select a delivery frequency of approximately every 30, 60 or 90 days from the options displayed when you subscribe. The scheduled processing date for each recurring order will be shown in your Subscription Portal and reminder email.

Delivery and processing dates are estimates and may move because of weekends, public holidays, payment retries, stock availability, carrier delays or circumstances outside IKOU's reasonable control.

Prices, discounts and currencies

Unless IKOU states otherwise, eligible Subscription Products receive a 15% Subscription discount from their current recommended retail price (RRP) at the time the order is processed.

The Subscription discount does not apply to sale or clearance products, gift cards, bundles or value packs. A bundle or value pack may still be available by Subscription at the displayed set price without a further Subscription discount.

The Subscription discount cannot be combined with another promotional offer, discount code, voucher or Reward unless IKOU expressly permits this. If IKOU makes a lower promotional price available to Subscription orders, the lower eligible price will apply.

A product's RRP and Subscription price may change. IKOU will give at least 48 hours' notice before a price increase applies to a recurring order and will allow you to skip or cancel before that order is processed.

Prices are displayed and charged in the currency served to you through the IKOU website and Shopify. Currency conversion rates may change. Your bank or payment provider may apply its own conversion rate or fees, for which IKOU is not responsible.

The total charge may include product prices, shipping charges, taxes, duties or other charges disclosed before processing. Any mandatory tax or duty treatment depends on the delivery destination.

Recurring orders and automatic charges

Your Subscription continues for an indefinite period at your selected frequency until you cancel it or IKOU cancels it under these Terms. There is no minimum number of billing cycles.

Each recurring order creates an automatic liability to pay the total amount disclosed for that order. IKOU will automatically charge your nominated payment method on or around the scheduled processing date.

You are responsible for reviewing your upcoming order and keeping your account, delivery and payment details accurate. Changes made after the applicable cut-off may not affect an order already being processed.

Order reminders and changes

IKOU will ordinarily send a reminder email approximately five days before each scheduled recurring order.

The reminder will identify or provide clear access to the Subscription Products and quantities in the upcoming order, the scheduled processing date, the total amount expected to be charged including shipping and other disclosed charges, and instructions for accessing the Subscription Portal to change, skip or cancel the Subscription.

You must make changes, including changing products or frequency, updating delivery details, skipping an order or cancelling, at least 24 hours before the scheduled processing date.

A failure to receive or read a reminder does not cancel the Subscription or recurring payment authority. IKOU will take reasonable steps to send reminders to the email address recorded in your account.

Payment and failed payments

Recurring orders will be charged to your nominated payment method. IKOU does not store complete credit or debit card details; payment information is handled by IKOU's payment providers.

If a payment attempt fails, IKOU may retry the payment once each day for up to 10 attempts and will send an email notification for each unsuccessful attempt. No late-payment fee is charged by IKOU.

IKOU may hold the order while payment is retried. If payment remains unsuccessful after the tenth attempt, the affected order will be skipped and will not be dispatched. Unless IKOU notifies you otherwise, the Subscription will remain active for the next scheduled billing cycle.

A successful retry may change the order's processing or dispatch date. You remain responsible for any bank fees or charges imposed by your payment provider.

Managing, skipping and cancelling a Subscription

You may manage your Subscription through the Subscription Portal, including changing the delivery frequency, changing eligible products, updating delivery or payment details, skipping an order or cancelling. Available functions may depend on the platform and order status.

You may skip up to three consecutive scheduled orders. After a skipped order, the Subscription automatically resumes for the next scheduled billing cycle unless you skip again or cancel. IKOU may cancel the Subscription after three consecutive skipped cycles and will notify you if it does so.

You may cancel at any time through the Subscription Portal. To prevent the next recurring order, cancellation must be completed at least 24 hours before its scheduled processing date. Cancellation ends future recurring orders but does not cancel an order already processed.

An order already processed cannot ordinarily be cancelled or refunded merely because you changed your mind. This does not affect any right you have under applicable consumer law or IKOU's Refund Policy.

If the Portal is unavailable or you need assistance, contact IKOU Customer Experience promptly. Contacting IKOU does not guarantee that an order can be stopped after processing has begun.

Unavailable or discontinued products

If a Subscription Product is temporarily unavailable, IKOU will contact you and may offer the choice to delay or skip the order, receive the available items only, remove and refund the unavailable item, or approve an alternative product.

IKOU will not substitute another product or charge a different amount without your agreement. If you do not respond before processing, IKOU may remove the unavailable product and not charge for it, refund it if already charged, or skip the affected order.

If a Subscription Product is permanently discontinued or removed from the Subscription Program, IKOU may remove it from your Subscription and will notify you. Your other subscribed products may continue.

Shipping and delivery

Subscription orders are shipped in accordance with IKOU's Shipping Policy. Available countries, delivery methods, shipping charges and free-shipping thresholds may vary by destination and may change.

The shipping charge and expected total will be displayed in the Subscription Portal or reminder before an order is processed. If an order is split because of stock availability, IKOU will not impose an additional shipping charge without your agreement.

Risk in and title to products pass as provided in IKOU's applicable sale and shipping terms, subject to any mandatory rights that apply in your country or region.

Returns, refunds and consumer rights

Subscription orders are subject to IKOU's Refund Policy and applicable consumer law. The Subscription discount does not reduce any consumer guarantee or other mandatory right.

Where a refund is payable, it will generally be based on the amount actually paid for the affected product, including any Subscription discount, subject to applicable law.

Nothing in these Terms limits your right to a repair, replacement, refund, cancellation or other remedy where required by applicable law.

Promotions and The Interval

An eligible promotional code may be used on the initial Subscription order where the cart and code satisfy the promotion's conditions. A promotional code does not apply automatically to later recurring orders.

Subscription purchases count towards Eligible Spend in The Interval based on the amount actually paid and in accordance with The Interval terms and conditions.

IKOU will not automatically add an available The Interval Reward to a recurring order. Where the platform and specific Reward terms permit, you must select and apply the Reward before the 24-hour order-change cut-off.

Communications and privacy

IKOU may send service communications reasonably required to administer the Subscription, including reminders, payment-failure notices, price or product changes, dispatch information, suspension and cancellation notices.

Service communications are separate from promotional marketing. You may unsubscribe from marketing without cancelling your Subscription, but IKOU may continue sending necessary Subscription communications.

IKOU suspension and cancellation

IKOU may suspend or cancel a Subscription, skip an order or restrict account access where it reasonably believes there has been fraud, misuse, resale activity, unauthorised payment activity, a material breach of these Terms, or a material legal, security or operational risk.

Where reasonably practicable, IKOU will notify you of the reason and allow a reasonable opportunity to respond. IKOU may act immediately where reasonably necessary to prevent fraud, security harm or unlawful conduct.

Cancellation by IKOU ends future recurring orders. It does not affect an order already processed, amounts already due, or rights and remedies accrued before cancellation.

Changes to the Subscription Program or these Terms

IKOU may make reasonable changes to the Subscription Program or these Terms to respond to customer needs, product availability, business requirements, legal or regulatory obligations, fraud or security risks, technical requirements or third-party platform changes.

IKOU will give reasonable prior notice of a material change likely to disadvantage you. If the change is a price increase, IKOU will give at least 48 hours' notice and allow you to skip or cancel before the affected order is processed.

IKOU may suspend or end the Subscription Program. Where reasonably practicable, IKOU will give reasonable notice, identify the effective date and explain how scheduled or processed orders will be handled.

Liability and matters outside IKOU's control

Nothing in these Terms limits IKOU's liability for a breach of a non-excludable consumer guarantee, negligence, wilful misconduct, fraud or any liability that cannot lawfully be limited or excluded.

To the maximum extent permitted by law, and without limiting any liability that cannot lawfully be limited or excluded, IKOU is not responsible for loss caused solely by incorrect information supplied by you, your failure to secure your account, a third-party system failure outside IKOU's reasonable control, or another event outside IKOU's reasonable control.

IKOU will take reasonable steps to correct a system or administrative error affecting a Subscription or recurring order after becoming aware of it.

Applicable law and contact

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.

The choice of New South Wales law does not prevent you from relying on any mandatory consumer right or protection that applies in the country or region where you live or where the relevant transaction occurs.

If part of these Terms is illegal, invalid or unenforceable, it will be read down to the extent necessary or severed. The remaining Terms continue to apply.

Definitions

Eligible Spend has the meaning given in The Interval terms and conditions.

IKOU means IKOU Australia Pty Ltd ABN 99 605 943 897.

Refund Policy means the refund or returns policy published on the IKOU website.

RRP means the current recommended retail price displayed or recorded by IKOU for a product.

Subscription means a recurring product-order contract governed by these Terms.

Subscription Portal means the online account facility made available to manage a Subscription.

Subscription Product means a product identified by IKOU as available for recurring orders.

Subscription Program means the IKOU recurring product-order program.

Terms means these Subscription Terms and Conditions, as amended in accordance with these Terms.

The Interval means IKOU's loyalty program.
